TERMS OF BUSINESS

BETWEEN:

(1) Chartwell International Limited, a company registered in England and Wales with its registered office at 8 Viceroy House, Mountbatten Business Centre, Millbrook Road East, Southampton SO15 1HY (“The Broker”, “We”, “Us”); and

(2) The Client, being the person, firm, or company engaging our services (“You”).

  1. DEFINITIONS AND INTERPRETATION

1.1 In these Terms:

  • Agreement: These Terms of Business together with any Confirmation of Instruction
  • Commencement Date: The date we begin providing Services to you
  • Commission: Any payment received by us from a Lender, FX Provider, or Mortgage Provider
  • Completion: The date a Finance Agreement, Mortgage, or FX Transaction becomes effective
  • Confirmation of Instruction: Written confirmation that you instruct us to proceed
  • Credit Broking Services: Services to source or arrange business finance
  • Mortgage Services: Services to introduce, arrange, or facilitate mortgage or property finance via authorised third parties
  • FX Services: Introduction to foreign exchange providers
  • Finance Agreement: Any loan, lease, or credit agreement
  • Mortgage Application: Any application for a mortgage or property finance product
  • Lender: Any bank or financial institution
  • FX Provider: Our foreign exchange partner (currently Sciopay Ltd or equivalent)
  • Services: Credit Broking Services, Mortgage Services, and/or FX Services
  1. APPOINTMENT AND SCOPE

2.1 You appoint us as a non-exclusive intermediary to source business finance, foreign exchange, and/or mortgage solutions.

2.2 We act as:

  • A Credit Broker for finance
  • An Introducer for FX
  • An Introducer and/or Intermediary for mortgage services

2.3 We are not a lender and do not provide funds directly.

2.4 This Agreement begins on the Commencement Date and continues until terminated.

  1. CREDIT BROKING SERVICES (BUSINESS FINANCE)

3.1 Our Role

We will:

  • Assess your funding requirements
  • Approach suitable lenders
  • Present finance options
  • Explain key features and risks

3.2 Your Responsibilities

You agree to:

  • Provide accurate and complete information
  • Respond promptly to requests
  • Not submit duplicate applications through multiple brokers without consent

3.3 Lending Decisions

All lending decisions are made solely by the Lender. We do not guarantee approval.

  1. FOREIGN EXCHANGE SERVICES (FX)

4.1 We introduce you to an authorised FX Provider.

4.2 Any FX transaction is a direct agreement between you and the FX Provider.

4.3 We:

  • Do not hold client funds
  • Do not execute trades
  • Do not provide investment advice

4.4 You accept risks relating to currency fluctuations and timing.

  1. MORTGAGE SERVICES

5.1 Our Role

We may introduce you to authorised mortgage lenders, brokers, or intermediaries.

Unless explicitly stated, we do not provide regulated mortgage advice.

5.2 Regulation

Mortgage services are regulated by the Financial Conduct Authority.
Any regulated activity will be carried out by authorised firms.

5.3 Your Responsibilities

You agree to:

  • Provide full and accurate financial information
  • Disclose income, commitments, and property details
  • Cooperate with lenders and brokers

5.4 Important Warning

Your home may be repossessed if you do not keep up repayments on your mortgage.

5.5 Applications & Approval

All mortgage applications are:

  • Subject to status
  • Subject to underwriting
  • Not guaranteed

5.6 Credit Checks

Applications may involve credit searches, which may affect your credit file.

5.7 Third Party Terms

Any mortgage agreement is between you and the lender/intermediary and subject to their terms.

  1. FEES AND REMUNERATION

6.1 Commission

We may receive Commission from:

  • Lenders (finance)
  • FX Providers
  • Mortgage lenders or brokers

6.2 Fees

In some cases, we may charge a fee for our services.
Any such fee will be agreed in writing before work begins.

6.3 Transparency

You may request details of any Commission we receive.

  1. DATA PROTECTION AND CONFIDENTIALITY

7.1 We comply with UK data protection laws including UK GDPR.

7.2 We may share your data with:

  • Lenders
  • Mortgage providers and brokers
  • FX Providers
  • Credit reference agencies
  • Fraud prevention agencies

7.3 We will keep your information secure and confidential unless disclosure is required by law or to deliver services.

  1. LIMITATION OF LIABILITY

8.1 We are not liable for:

  • Decisions made by lenders or mortgage providers
  • FX market losses
  • Indirect or consequential losses

8.2 Our total liability is limited to fees or commission received in the previous 12 months.

8.3 Nothing limits liability for fraud, death, or personal injury.

  1. TERMINATION

9.1 Either party may terminate this Agreement at any time in writing.

9.2 Termination does not affect:

  • Ongoing transactions
  • Commission already earned
  1. THIRD PARTY RIGHTS

No third party has rights under this Agreement under the Contracts (Rights of Third Parties) Act 1999.

  1. GOVERNING LAW

This Agreement is governed by the laws of England and Wales.

The courts of England and Wales have exclusive jurisdiction.
